1. The service. Laycan LLC ("Laycan," "we," "us") operates laycanreport.com, a subscription intelligence feed that identifies US B2B importers across the product categories Laycan actively tracks (currently furniture, fitness equipment, solar, and batteries, with coverage expanding over time) from public customs manifest data (19 CFR 103.31), and delivers a weekly graded lead list to subscribers. A subscription covers every product category Laycan tracks, not just one. Laycan is a data product, not a customs broker, freight forwarder, legal advisor, or financial advisor, and nothing in the feed constitutes advice of any kind.
2. Seat allocation pricing. Laycan's subscriber base is capped at 10 seats at the $199/month allocation rate, a limit set by Laycan's current data-licensing throughput. A seat is not restricted to one product category: subscribers receive graded leads across every category Laycan actively tracks. The category a subscriber expresses interest in at signup is used to prioritize what reaches them first, not to restrict what they may receive — Laycan retains discretion to route relevant leads across categories on a subscriber's tracked lanes. Once the 10-seat allocation capacity is fully claimed, new subscribers join at the then-current standard rate ($399/month as of this writing) until capacity is expanded. Subscribers who cancel and later resubscribe after their $199/month allocation-rate seat has lapsed also pay the then-current standard rate.
3. Rate lock and the margin-guard exception. The $199/month allocation rate is locked for as long as a subscription remains active and continuously paid. The one published exception: if the cost of the third-party data this feed depends on rises to the point that per-seat gross margin falls below 50%, Laycan may adjust the allocation rate with 60 days' written notice by email before any change takes effect. This exception exists for genuine data-vendor cost shocks, not for routine repricing, and will never be invoked silently or retroactively. These terms, as published at the time of a subscriber's first payment, are not altered for that subscriber except through this one disclosed mechanism.
4. Cancellation and refunds. Subscribers may cancel at any time. Cancellation takes effect at the end of the current paid billing period — access and weekly delivery continue through the period already paid for. Laycan does not offer partial-month or prorated refunds, as each week's issue is delivered in full at the time it is sent. Billing is handled entirely by Stripe, Inc.; Laycan never collects or stores payment card details.
5. Acceptable use. The feed is licensed for the subscriber's own internal sales use only. Redistribution, resale, publication, or bulk sharing of feed contents outside the subscribing organization is not permitted without Laycan's prior written consent.
6. Data basis and accuracy. Feed content is derived from public US vessel manifest data made available under 19 CFR 103.31, combined with Laycan's own classification, grading, and cadence analysis. Freight estimates, cadence predictions, and grading are analytical estimates based on available shipment history, not guarantees — every estimate is labeled with its own confidence where the underlying data is thin. Laycan does not warrant that any specific lead will result in a sale.
7. Disclaimer and limitation of liability. The service is provided "as is" and "as available," without warranties of any kind, express or implied. To the maximum extent permitted by law, Laycan's total liability arising from or related to the service is limited to the amount paid by the subscriber in the three months preceding the claim. Laycan is not liable for indirect, incidental, or consequential damages, including lost sales or business opportunities.
8. Changes to the service. Laycan may modify or discontinue features of the feed. Material changes to these Terms will be posted on this page with an updated effective date; continued use of the service after a change constitutes acceptance, except where Section 3 above applies to a subscriber's locked rate.
9. Governing law. These Terms are governed by the laws of the State of New Mexico, United States, without regard to conflict-of-law principles.
